Partiki LLC ("Partiki", "we", "us", or "our") provides a comprehensive platform for group trip planning, event management, RSVP coordination, group messaging, media sharing, and a peer-to-peer rental marketplace (collectively, "BestRentz by Partiki" or "Services"). By accessing or using our website, mobile application, or any related services, you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By accessing or using Partiki, you agree to these Terms and our Privacy Policy. If you do not agree, you must stop using the Services.

2. Eligibility

You must be at least 18 years old to use Partiki and participate in any transactions on our platform. To list items on the rental marketplace or enter into rental agreements, you must be at least 18 years old and have the legal capacity to form binding contracts. By using the Services, you represent and warrant that you meet these eligibility requirements.

3. Services Overview

Partiki provides the following services:

  • Group Trip Planning: Create and manage group trips, itineraries, and event schedules
  • Group Messaging: Communicate with group members through chat and media sharing
  • RSVP Management: Send and receive event invitations and track responses
  • Media Sharing: Upload and share photos, videos, and other content within groups
  • Rental Marketplace: A peer-to-peer platform connecting item owners ("Sellers") with renters ("Buyers" or "Renters")
  • Payment Processing: Secure payment handling, security deposits, and seller payouts via Stripe
  • AI-Powered Features: Personalized itineraries, destination recommendations, and outfit planning suggestions

Personalized content and recommendations are provided for informational purposes only. Partiki does not guarantee accuracy, reliability, or completeness. You are responsible for verifying all details before making decisions or transactions based on our recommendations.

4. Rental Marketplace Terms

4.1 Platform Role

Partiki acts solely as a facilitator connecting Sellers and Renters. We are not a party to rental agreements and do not own, sell, or rent items listed on the platform. Transactions are directly between Sellers and Renters.

4.2 Seller Obligations

  • Provide accurate descriptions, photos, and pricing for all listings
  • Ensure items are in the condition described and available for the rental period
  • Comply with all applicable laws, including tax obligations
  • Respond promptly to rental requests and communicate delivery/pickup details
  • Maintain valid payment account information for receiving payouts
  • Accept returns and process security deposit refunds in accordance with rental agreements

4.3 Renter Obligations

  • Use rented items with reasonable care and for their intended purpose
  • Return items on time and in the same condition as received (normal wear excepted)
  • Pay all rental fees, security deposits, and any applicable charges promptly
  • Coordinate pickup/delivery and follow agreed-upon arrangements
  • Report any issues or damages immediately
  • Not sublease or transfer rental items to third parties without Seller consent

4.4 Payment Terms

All payments are processed through Stripe. By using the marketplace, you agree to Stripe's terms. Partiki collects a service fee for facilitating transactions. Payment structure:

  • Rental Payment: Charged at booking confirmation, held in escrow
  • Security Deposit: Authorized at booking, captured only if item is damaged or not returned
  • Service Fee: Non-refundable platform fee charged to Renters
  • Seller Payout: Released after successful rental completion (typically 3-7 days after return)

4.5 Cancellations and Refunds

  • By Renter: Cancellations made 7+ days before rental start receive full refund minus service fee. Cancellations within 7 days are subject to Seller's cancellation policy
  • By Seller: Sellers who cancel confirmed bookings may face penalties and must issue full refunds
  • Platform Cancellation: We reserve the right to cancel transactions that violate these Terms

4.6 Security Deposits

Security deposits are authorized but not charged at booking. They are automatically released if the item is returned undamaged and on time. Sellers may claim all or part of the deposit for:

  • Damage beyond normal wear and tear
  • Late returns (prorated daily rental rate applies)
  • Lost or unreturned items (up to full replacement value)

Important: Partiki does not guarantee item quality, condition, availability, or the conduct of Sellers or Renters. All rentals are subject to a separate Rental Agreement between parties. We are not liable for disputes, damages, injuries, or losses arising from marketplace transactions.

5. Third-Party Services and Integrations

Our Services may integrate with or display offers from independent third-party providers (e.g., Viator for tours, hotels, airlines, activity providers). These vendors are not affiliated with, controlled by, or endorsed by Partiki.

  • Any bookings or transactions with third parties are solely between you and that provider
  • We do not warrant the quality, safety, legality, or availability of third-party services
  • Third-party providers have their own terms and privacy policies
  • Partiki is not responsible for cancellations, refunds, disputes, or issues with third-party services

6. User Conduct and Prohibited Activities

You agree not to:

  • Provide false, inaccurate, or misleading information
  • Violate any applicable laws, regulations, or third-party rights
  • Harass, bully, threaten, or abuse other users
  • Post or share illegal, offensive, or inappropriate content
  • Infringe on intellectual property rights of others
  • Interfere with platform security, circumvent restrictions, or attempt unauthorized access
  • Use automated systems (bots, scrapers) without our permission
  • List stolen, counterfeit, prohibited, or illegal items on the marketplace
  • Engage in fraudulent transactions or payment disputes
  • Attempt to bypass payment systems or fees
  • Spam, solicit, or advertise outside of authorized marketplace features

Violations may result in account suspension, termination, and legal action.

7. User Content and License

You retain ownership of content you post (photos, messages, listings, etc.). By posting content, you grant Partiki a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your content as necessary to provide the Services. This includes:

  • Displaying your listings and content to other users
  • Storing photos and media you share in groups
  • Processing content for features like AI recommendations
  • Backing up and securing your data

You represent that you have all necessary rights to the content you post and that it doesn't infringe on any third-party rights.

8. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you consent to our data practices as described in the Privacy Policy.

Key points:

  • Content shared in groups is visible to all group members
  • Marketplace transactions require sharing contact information with the other party
  • We do not provide end-to-end encryption for group content
  • Payment information is processed securely by Stripe
  • You can request data deletion or account closure at any time

9. Group Features and Responsibilities

When you create or join a group:

  • Group Creators: Have control over group settings, membership, and can remove members or delete the group
  • Group Members: Can view and contribute content, but should respect group rules and other members
  • Shared Content: All content shared in a group is visible to all members; be mindful of what you share
  • Media Sharing: Members may save or screenshot content; only share what you're comfortable with all members seeing
  • Leaving Groups: You can leave a group at any time, but content you contributed may remain unless deleted

10. Intellectual Property

All Partiki logos, branding, trademarks, and platform content are the property of Partiki LLC and protected by intellectual property laws. You may not copy, modify, distribute, or exploit them without our prior written permission.

11. Disclaimers and Limitation of Liability

11.1 Service "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee uninterrupted, secure, or error-free service.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTIKI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM:

  • Your use of or inability to use the Services
  • Rental marketplace transactions, including disputes between Sellers and Renters
  • Loss, damage, or theft of rented items
  • Actions or omissions of other users
  • Use of personalized content or AI-generated recommendations
  • Third-party services, integrations, or vendor offerings
  • Technical issues, downtime, data loss, or security breaches
  • Unauthorized access to your account or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO PARTIKI IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Partiki LLC and its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of or inability to use the Services
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of another party
  • Content you post or share on the platform
  • Your marketplace transactions, including rental disputes
  • Items you list, rent, or interact with on the marketplace
  • Any injuries, damages, or losses related to your use of rented items

13. Dispute Resolution Between Users

Disputes arising from marketplace transactions are primarily between the Seller and Renter. Partiki may assist with communication but is not obligated to mediate or resolve disputes. We recommend:

  • Communicating directly through the platform's messaging system
  • Documenting all interactions and issues with photos/messages
  • Reviewing the signed Rental Agreement for guidance
  • Contacting support@partiki.co if assistance is needed

For payment disputes, contact Stripe support. For serious violations or fraudulent activity, we reserve the right to suspend accounts and assist law enforcement as required.

14. Account Termination

We reserve the right to suspend or terminate your account at our discretion if you:

  • Violate these Terms or our policies
  • Engage in fraudulent or illegal activities
  • Abuse or harass other users
  • Fail to honor rental commitments
  • Create security or liability risks

You may delete your account at any time through the app settings. Upon termination, you remain liable for any outstanding obligations, including pending rentals and payments.

15. Modifications to Terms

Partiki may update these Terms from time to time. Updates will be effective upon posting with a revised "Effective Date." Your continued use constitutes acceptance.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law provisions.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Kansas, and judgment on the arbitration award may be entered in any court having jurisdiction.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT. Arbitration shall be on an individual basis only; class arbitrations and class actions are not permitted.

16.3 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the platform, constitute the entire agreement between you and Partiki regarding the Services and supersede all prior or contemporaneous communications and proposals.

19. Assignment

You may not assign or transfer these Terms or your rights and obligations under them without our prior written consent. We may freely assign these Terms without restriction.

By using BestRentz by Partiki, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our Services.
